SGUS, Inc. is a North Carolina nonprofit corporation incorporated on June 5, 2008, for educational, charitable, scientific, literary, religious, and related public-benefit purposes.
Transparency and Public Information
SGUS is committed to accurate public representation, responsible governance, and clear communication regarding its organizational status, current activities, future initiatives, and educational authority.
Organizational Status
Core information concerning the legal identity and tax status of SGUS, Inc.
The Internal Revenue Service recognized SGUS as an organization described in Section 501(c)(3) of the Internal Revenue Code on January 25, 2010, effective from the date of incorporation. Contributions are deductible to the extent permitted by applicable law.
The State of North Carolina recognized SGUS as a charitable nonprofit and granted applicable exemption from state franchise and income taxes on November 4, 2008.
SGUS serves as a nonprofit educational system office and may create, acquire, support, sponsor, own, operate, or affiliate with programs, academies, schools, colleges, institutes, libraries, research initiatives, project entities, and other mission-aligned organizations.
SGUS is being reconstituted as an active educational system office following a period of limited activity. Current work includes governance development, SGUS Academy, partnership development, and institutional-capacity building.
SGUS currently operates as a lean organization with limited assets and no material debt or encumbering financial obligations known to the organization. Its operating scale and financial position may change as new initiatives, grants, partnerships, or transactions are approved.
Educational Authority and Regulatory Status
SGUS distinguishes carefully among activities presently permitted, activities subject to exemption, and activities requiring additional approval, licensure, or accreditation.
In March 2010, the North Carolina Community College System issued SGUS written confirmation that the organization qualified for an exemption from proprietary-school licensure under then-applicable North Carolina law. SGUS understands that use of any exemption is subject to the current statute, agency interpretation, program structure, and continuing compliance with applicable conditions.
SGUS may issue diplomas or certificates only when the applicable program is lawfully offered under an available exemption, authorization, or approval. The scope, wording, and use of any credential must accurately reflect the nature of the program and must not imply authority that SGUS does not possess.
Certain exemptions may limit whether tuition or fees may be charged directly to participating students. SGUS will structure programs and funding arrangements in accordance with the conditions applicable to the specific activity.
North Carolina law provides exemptions for certain religious educational institutions and programs. SGUS may evaluate a separate, wholly controlled entity dedicated to religious education if such a structure is consistent with the law, the SGUS mission, and formal Board approval.
Some avocational, recreational, self-improvement, and continuing education activities may qualify for exemption or approval under North Carolina law. SGUS will seek any determination or approval required before relying upon such treatment.
Certain employer-maintained classes for employees may be exempt when no tuition or fee is charged to the student. Any SGUS program using this framework will be evaluated according to the actual employment, compensation, instructional, and funding arrangement.
Accreditation and Degree Authority
SGUS does not currently represent that it holds institutional accreditation or general state authority to award academic degrees. References to future colleges, campuses, degree programs, or accredited operations describe possible future development unless expressly identified as approved and operational.
Any activity requiring state licensure, degree-granting authority, institutional accreditation, professional approval, or other regulatory authorization will be undertaken only after applicable requirements have been satisfied.
SGUS Academy and Future Educational Initiatives
Clarifying the present status of SGUS Academy and other initiatives under development.
SGUS Academy is an educational initiative in development within the SGUS system. Current activity may include governance, policy, curriculum planning, partnership development, facility planning, staffing models, and operational preparation.
SGUS Academy may develop non-degree, community, workforce, professional, preparatory, and continuing-education activities when legally permissible and supported by appropriate institutional capacity.
Any future expansion into licensed, accredited, or degree-granting activity will depend on Board approval, adequate resources, qualified personnel, regulatory authority, and completion of applicable review processes.
Public Representations
SGUS seeks to communicate accurately about its identity, history, activities, partnerships, and future plans. Website content should not be interpreted as creating legal rights, contractual obligations, regulatory approvals, accreditation, licensure, or institutional relationships that have not been expressly established.
SGUS may describe historical events, educational traditions, institutions, campuses, properties, court proceedings, or other organizations for informational, educational, preservation, planning, or diligence purposes. Such references do not imply ownership, succession, endorsement, control, or affiliation unless expressly stated.
Partnerships, Projects, and Transactions
Clarifying the status of exploratory discussions, planning activity, funding concepts, and possible future transactions.
SGUS may participate in confidential, exploratory, preliminary, or nonbinding discussions with educational institutions, government agencies, creditors, developers, lenders, foundations, donors, and other potential partners.
Discussion of a campus, facility, property, financing structure, affiliation, acquisition, partnership, or proposed initiative does not mean that a transaction has closed or that SGUS has assumed ownership, control, liabilities, accreditation, or operational responsibility.
Statements concerning future programs, facilities, financing, development, affiliations, public benefits, or operating models are forward-looking and may change based on diligence, approvals, funding, negotiations, legal requirements, and other conditions.
SGUS may receive nonprofit discounts, donated services, software, technology credits, or grant-supported products from companies and service providers. Availability of such support does not necessarily constitute endorsement, sponsorship, or a formal partnership.
Contributions may be accepted subject to applicable law, donor restrictions, Board policy, and SGUS's charitable purposes. A gift does not guarantee that any particular proposed initiative or transaction will proceed.
Significant legal, financial, regulatory, educational, real-estate, tax-credit, or transaction matters may require review by qualified professional advisers before SGUS takes final action.
Institutional Values and Participation
SGUS maintains a defined institutional identity while welcoming broad and respectful participation.
SGUS is guided by the Judeo-Christian moral tradition, the pursuit of truth, human dignity, personal responsibility, service to others, civic virtue, and a patriotic commitment to the United States, constitutional principles, the rule of law, and responsible citizenship.
SGUS welcomes students, faculty, staff, partners, volunteers, and participants of every faith, religious tradition, sincerely held belief, and those with no religious affiliation who are willing to engage respectfully within the SGUS community and uphold applicable standards of conduct.
